Legal Structure
One operating entity, Kamui Finance DAO LLC, a Marshall Islands limited liability company, runs the on-chain vault as the LP-facing curator and operating vehicle. The entity holds a Marshall Islands Foreign Investment Business License (FIBL). It sits beneath Kamui Holdings Limited (British Virgin Islands), a group holding company with no LP touchpoint that is purely structural.
The DAO holds legal title to each vault’s underlying assets on behalf of participants, who are beneficially entitled to those assets in proportion to their participation. The DAO’s mandate is limited to holding assets and operating the vaults in accordance with their published rules and parameters. The vault itself is software infrastructure, an ERC-7540 contract on Ethereum mainnet, not a fund or collective allocation scheme.
Eligibility & Compliance
Onboarding
After connecting a wallet, the depositor must accept the Kamui Finance Terms of Service once per wallet before depositing.
Sanctions screening
Compliance is enforced programmatically: real-time OFAC sanctioned-list screening runs on every deposit at the wallet level. The screening model is sanctions and blacklist based, with every depositor wallet screened before its first settlement, and a frozen-funds process applies to directly OFAC-linked wallets.
Restricted jurisdictions
The product is not directed at, nor intended for use by, persons in the United States, Canada, the UAE, or the United Kingdom. Access is strictly prohibited for individuals or entities in comprehensively sanctioned jurisdictions, including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine, enforced via wallet-level OFAC screening and the terms of service.
Certain underlying assets are themselves issued under their own eligibility regimes. The vault structure holds these assets at the DAO level on behalf of participants. Depositors should review the terms of service and take their own legal and tax advice on their eligibility to participate.
Risk Disclosure
This documentation is for information only. It is not an offer to sell or a solicitation to buy any security, token, or financial instrument, and it is not investment, legal, financial, or tax advice. Digital-asset and RWA products carry significant risk, including the risk of total loss. Yields are variable and not guaranteed. Yield targets are indicative, forward-looking figures. Past performance does not indicate future results.
Withdrawals may be delayed, gated pro-rata, or extended beyond stated target windows. Strategies utilising leverage, when introduced, magnify both potential gains and the risk of substantial, rapid, and total capital loss.
Vault participation is governed by the Kamui Finance terms of service. The product is not directed at persons in the United States, Canada, the UAE, or the United Kingdom, and access is prohibited for restricted and sanctioned persons and jurisdictions. Kamui Finance assumes no liability for third-party operational failures, including those of external RWA issuers, oracles, or compliance providers.
Prospective depositors should conduct their own due diligence and take independent legal, financial, and tax advice before participating. Figures reflect current internal recommendations and are subject to change.
